This is a license agreement (“Agreement”) between Archade, Inc. (mentioned as "Archade", ”we”, “us”, “our”) and You (“Licensee”, “You” or “Your”). If you are entering into this Agreement on behalf of an entity, then you represent and warrant that you have the authority to bind such entity to the terms and conditions of this Agreement. By using our Site and/or accessing or downloading Content or Product (as defined in Terms of Services) from us, You agree to be bound by this Agreement. Archade offers different types of license agreements and the one selected at the time of purchase applies to Licensee’s use of the Licensed Content.
This License Agreement states the terms and conditions of Licensee’s copyright terms with respect to the Content or Product (“Licensed Content”) made available on the Site by the Creator and purchased by Licensee.
This License Agreement is an agreement between:
The “Licensee” who is the individual person acting on their or a legal entity’s behalf indicated as the licensee during the purchase process
and
Archade on behalf of the Creator as licensor.
If Licensee is acting on behalf of a legal entity, the reputable owner of the legal entity is the sole owner of the License and Licensee warrants at the time of purchase that they have full authority to act on behalf of the legal entity to which they are affiliated.
Commercial Work applies when one more of the following is true; involves an exchange of money or other consideration, promotes a any type business product, or service, financial gain or other consideration is either sought or a result, directly or indirectly, of Licensee’s use of the Licensed Content.
Professional Work applies when there is no direct exchange of money or financial gain but the Licensee is either a professional or using the Licensed Content in a professional context.
Personal Work applies any use for personal purposes, excluding use cases subject to Professional use or Commercial Use.
Professional applies for any company, corporate and type of legal entity is considered as Professional.
Owner of the Commercial License holds the rights below to using the Licensed Content (in addition to Professional License)
1.1 In design of physical merchandise products such as; textile, souvenir or any kind of product designs.
1.2 In packaging or cover of physical or digital products such as; boxes, decorative papers, stickers, magazines or any kind of digital publications.
1.3 In digital development such as; mobile apps, website designs, video games.
For unlimited times without any obligation to attribution.
Owner of the Professional License holds the rights below to using the Licensed Content ( in addition to the Personal License);
2.1 In their works that created or used for professional purposes such as; client presentations, visual works that has been subjected to the financial transaction or consideration.
2.2 In educative materials such as; pre recorded or live video tutorials, online or physical lessons.
For unlimited times without any obligation to attribution.
3.1 Professional License allows Licensee the modify the Licensed Content (”Modified Content”); A Licensed Content might be considered Modified Content if; the Modified Content is significantly different than the original Licensed Content, requires time, effort, and skill to produce it and not derive its primary value from the Licensed Content itself.
Owner of the Professional License holds the rights below to using the Modified Content;
3.2 In physical or digital advertisement for commercial and non-commercial purposes such as; any printed ads, social media ads.
For unlimited times without any obligation to attribution.
Owner of the Professional License DOES NOT have the the rights to use Licensed Content or Modified Content;
4.1 In any context that is subject to the direct financial gain or consideration such as; merchandise, product design, packaging.
4.2 In any part of a digital development such as; mobile apps, website designs, video games.
Owner of the Personal License holds the rights below to using the Licensed Content
5.1 In personal works that is not subject to the direct or indirect financial gain or consideration.
5.2 In public works that has no direct expectation or purpose of financial gain such as; competitions (In case of participant is not a professional or acting on behalf of a professional).
5.3 In promotional materials or works that has no intention or expectation of financial gain such as; creating an artwork to promote your own non-commercial social media account.
Owner of the Personal License DOES NOT have the the rights to use Licensed Content;
6.1 In all cases stated in Section 4. of this statement “Prohibited Uses of the Professional License”.
6.2 In cases where they Modify the Licensed Content without written permission from the Creator of the Licensed Content.
6.3 In any professional or commercial context with or without any direct or indirect financial gain or consideration such as; works for a company, or a client.
Any User, Licensee or Creator are allowed to exercise following rights;
7.1 Falsely representing authorship and/or ownership of the Licensed Content.
7.2 Sell, distribute, sublicense, transfer, provide access to contents on its own in any format.
7.3 Provide works to anyone with the source files.
7.4 Make any Content or Product available for download or share them in any format enabling others to reproduce or use them.
7.5 Any illegal or ill-intentional use.
7.6 Modify or copy the look and feel, functionality or user interface of any portion of the Content, Product or the Site.
7.7 Use bots to download Content or Product from the Site.
7.8 Use the Content or Products as part of an in-app purchase.
7.9 Any other use that is not expressly permitted in the license terms is strictly prohibited.
All digital content available on the Site is protected by United States and international copyright and other laws and treaties. As between you and the Creator, the Creator retains ownership of the Licensed Content and Modified Content, but grants to Licensee the limited, non-exclusive and non-transferrable copyright to use the Licensed Content or Modified Content as expressly set forth above on the terms. Any reference to the “purchase” or “sale” (or similar terms) of the Licensed Content refers to the purchase of a limited license only and not the purchase of the underlying copyright or work itself.
9.1 Any individual License to use Content or Product under this Agreement will commence on the date you first become a User and continue until Archade revokes the License.
